Affiliate Program Agreement

This Agreement governs participation in the Mountain Ridge Marketing Affiliate Program. It is a complete and standalone agreement between you (“Affiliate”) and Mountain Ridge Marketing (“MRM”). Participating in the Affiliate Program does not make you a customer of any MRM product, and this Agreement is separate from the Terms of Service that govern MRM's products.

1. Enrollment

Enrollment is subject to MRM's approval and may be declined or revoked at MRM's discretion. You must provide accurate identifying and payment information and keep it current. You are responsible for any taxes arising from commissions paid to you, and MRM may require a completed tax form before issuing payment.

2. Attribution and tracking

Referrals are tracked through your unique affiliate link or code. Commission is awarded on a last-click basis: where more than one affiliate link or code is associated with a purchase, the most recent one recorded before checkout receives the commission. The tracking window is 45 days from the click.

Tracking depends on the customer's browser and device. MRM's own records are the sole record of attribution, and MRM is not able to credit a referral that its system did not record. Commission is not awarded on a purchase the referred customer completes without your link or code being recorded.

3. Commission

The standard commission is 30% of the recurring subscription revenue actually collected from each client you refer, for as long as that client remains a paying subscriber. Commission is calculated on the amount MRM actually receives after any discount or coupon the client applies, and excludes taxes, usage charges billed to the client's own account wallet, and any third-party fees.

Individually negotiated agreements. MRM may enter into separate written affiliate agreements with individual partners on terms that differ from this page. Where a signed individual agreement exists, its terms control for that partner. Nothing on this page entitles any affiliate to the terms of any other affiliate's agreement.

Self-referral is not commissionable. You may not earn commission on your own subscription or on a purchase made by an entity you own or control.

4. Payouts

• Commissions are paid monthly on Net-15 terms: amounts earned in a given calendar month are paid within fifteen days after that month ends.
• Payment is made by PayPal or bank transfer. PayPal is the standard method and the fastest to process.
• A balance must reach $100 to be paid out. Balances below the threshold roll forward to the next cycle until the threshold is met.
• Commission is earned only on payments MRM has actually collected and retained. If a referred payment is refunded, reversed, or charged back, the associated commission is deducted from your next payout or, if no payout follows, becomes repayable to MRM.

5. Prohibited conduct

You may not:

• Send unsolicited bulk email, SMS, or messages of any kind to promote MRM, or promote MRM in any way that violates the CAN-SPAM Act, the TCPA, or any applicable anti-spam or consent law.
• Bid on MRM's brand names or trademarks, or close variants of them, in paid search, or direct paid traffic to a URL that resolves to an MRM-owned domain.
• Register domain names, social accounts, or app listings that include MRM's brand names or trademarks, or that are likely to be mistaken for MRM.
• Make any earnings claim, results claim, or representation about MRM's products that MRM has not published. MRM's own published claims are the outer limit of what you may say.
• Offer unauthorized discounts, rebates, cashback, or coupons in connection with a referral.
• Promote MRM on sites containing unlawful, deceptive, discriminatory, or sexually explicit content.

6. Required disclosure

You must clearly and conspicuously disclose your affiliate relationship with MRM wherever you promote MRM's products, as required by the FTC's Endorsement Guides. If you are also a current or comped MRM client, you must disclose that as well. Disclosure must be visible before the reader encounters your affiliate link.

7. Intellectual property

MRM grants you a limited, non-exclusive, revocable, non-transferable license to use MRM's names, logos, and marketing materials solely to promote MRM's products during the term of this Agreement, and only in the form MRM provides them. You may not modify MRM's logos or marks, and you may not create derivative marketing materials that present themselves as MRM's.

All rights in MRM's names, logos, marketing materials, websites, software, systems, funnels, workflows, templates, and content remain the sole property of MRM and its licensors. Nothing in this Agreement transfers any ownership interest to you. The license ends automatically when this Agreement terminates, and you must stop using MRM's marks and materials at that point.

8. Term and termination

This Agreement begins when MRM approves your enrollment and continues until either party terminates it. Either party may terminate at any time, for any reason, on written notice. MRM may suspend or terminate immediately for a breach of Sections 5 or 6.

On termination for any reason other than your breach, MRM will pay commissions earned and collected through the termination date in the next regular payout cycle, subject to the $100 threshold. Recurring commission does not continue after termination. On termination for your breach, MRM may withhold unpaid commissions associated with the conduct that caused the breach.

9. Independent contractors

You and MRM are independent contractors. This Agreement does not create a partnership, joint venture, employment, agency, or franchise relationship. You have no authority to make any commitment, representation, or warranty on MRM's behalf, and you may not present yourself as MRM's employee, agent, or representative.

10. Confidentiality

Commission terms specific to your agreement, non-public program information, and any customer or prospect data you receive through the program are confidential. You may not disclose them, and you may not use customer or prospect data for any purpose other than the referral itself.

11. No warranty and limitation of liability

The Affiliate Program is provided as is. MRM does not guarantee any level of traffic, conversions, commissions, or earnings, and nothing in this Agreement or in MRM's marketing materials should be read as a projection of what you will earn. MRM does not warrant that tracking will be uninterrupted or error-free.

To the fullest extent permitted by law, MRM's total liability to you arising out of or relating to this Agreement will not exceed the total commissions MRM paid you in the twelve months preceding the event giving rise to the claim. MRM will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost opportunity.

12. Changes to these terms

MRM may change this Agreement, including commission rates, the attribution window, and payout terms, by posting an updated version on this page. Changes take effect thirty (30) days after posting and apply to commissions earned after the effective date. Continuing in the program after that date is acceptance. If you do not accept a change, your remedy is to terminate under Section 8.

13. Governing law

This Agreement is governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in South Carolina, and both parties consent to the jurisdiction of those courts.

14. Severability

If any provision of this Agreement is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force and effect.

15. Entire agreement and assignment

This Agreement is the entire agreement between you and MRM regarding the Affiliate Program and supersedes any prior understanding on that subject, except that a signed individual affiliate agreement between you and MRM controls where it conflicts with this page. You may not assign this Agreement without MRM's written consent. MRM may assign it freely.
